These Terms of Use (“Terms”) govern your access to and use of the GroupA LLC website (the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Use of the Site

GroupA grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial informational purposes, or for the legitimate business purpose of evaluating GroupA’s services. You may not (a) reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any Site content without GroupA’s prior written consent; (b) use any automated means to access or scrape the Site; (c) attempt to gain unauthorized access to any portion of the Site or its underlying systems; or (d) use the Site in any manner that could damage, disable, overburden, or impair it.

2. Intellectual Property

All content on the Site, including text, graphics, logos, images, frameworks, methodologies, and software, is the property of GroupA LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. The “GroupA” name and logo are trademarks of GroupA LLC. Nothing on the Site grants any license or right to use any trademark without GroupA’s prior written permission.

3. Submissions

Any feedback, suggestions, or non-confidential information you submit to GroupA through the Site is provided on a non-confidential basis, and GroupA may use it for any purpose without obligation to you. Do not submit confidential information through the Site’s contact forms; confidential matters should be discussed under appropriate confidentiality protections in connection with a formal engagement.

4. Disclaimer of Warranties

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY. GROUPA DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL GROUPA LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, REGARDLESS OF THE LEGAL THEORY AND EVEN IF GROUPA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. GROUPA’S AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). NOTHING IN THESE TERMS LIMITS LIABILITY FOR MATTERS THAT CANNOT BE LIMITED UNDER CALIFORNIA LAW, INCLUDING CALIFORNIA CIVIL CODE § 1668.

6. Indemnification

You agree to indemnify and hold harmless GroupA LLC and its members, officers, employees, and contractors from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms or your misuse of the Site.

7. Third-Party Links

The Site may contain links to third-party websites. GroupA does not control and is not responsible for the content or practices of any linked site. Inclusion of a link does not imply endorsement.

8. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Site will be brought exclusively in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of those courts.

9. California Consumer Notice

Under California Civil Code § 1789.3, California residents are entitled to the following consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (916) 445-1254 or (800) 952-5210.

10. Changes

GroupA may modify these Terms at any time by posting the updated Terms on the Site. Your continued use of the Site after any change constitutes acceptance of the revised Terms.
